Agreement as to Use: You understand that the information provided in this portal is for informational purposes only and that Halona is looking for partners interested in investing in a multi-family housing development in Tulsa, Oklahoma (“Opportunity”), after conducting their own independent, in-depth investigation and analyses of the Opportunity. You acknowledge and agree that you are not and will not rely on Halona’s advice, recommendation, or due diligence in forming your own decision to invest in the Opportunity. The information and projections provided in this portal are preliminary estimates for illustration purposes only for you to proceed with your own independent, in-depth investigation and analysis of an Opportunity. The Opportunity and potential outcome is necessarily subject to a high degree of uncertainty and may vary materially from actual results. No representations or warranties are made as to the accuracy or realization of any projections made on the portal. Halona is providing access to the portal merely as a platform for you to learn about the Opportunity and to decide whether to move forward with carrying out your own third-party investigation into the Opportunity.
Agreement Not to Disclose: You agree not to use any Confidential Information (as defined below) disclosed to you by Halona for your own use or for any purpose other than to carry out discussions concerning the Opportunity. You agree to take all reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information of Halona to prevent it from falling into the public domain or the possession of persons other than agents of Halona or persons to whom Halona consents to such disclosure. Upon request by Halona, any materials or documents that have been furnished by Halona to you in connection with the Services shall be promptly returned by you to Halona.
Non-Circumvention: You agree not to use Confidential Information to circumvent Halona by directly or indirectly soliciting, inducing and/or securing an independent business arrangement or agreement with any of Halona’s customers, suppliers, vendors, partners, affiliates, investors, associates, agents, representatives or joint venture partners (“Third-Party Entities”). You agree and acknowledge that an introduction to such Third-Party Entities for the proposed Opportunity is considered Confidential Information and covered under these terms of use and is not a relationship you independently developed, regardless of any other prior dealings or agreements you have with a Third-Party Entity.
Definition of Confidential Information: “Confidential Information” means any information, technical data or know-how (whether disclosed before or after the date of this Agreement) contained within this portal, including, but not limited to, information relating to business and product or service plans, financial projections, customer lists, business forecasts, sales and merchandising, human resources, patents, patent applications, computer object or source code, research, inventions, processes, designs, drawings, engineering, marketing or finance to be confidential or proprietary or which information would, under the circumstances, appear to a reasonable person to be confidential or proprietary. Confidential Information does not include information, technical data, or know-how that: (i) is in your possession at the time of disclosure, as shown by Halona’s files and records immediately prior to the time of disclosure; or (ii) becomes part of the public knowledge or literature, not as a direct or indirect result of any improper inaction or action of yours. Notwithstanding the foregoing, you may disclose Confidential Information with the prior written approval of Halona or pursuant to the order or requirement of a court, administrative agency, or other governmental body.
Acknowledgement of Status: You acknowledge that you are an “accredited investor,” as such term is defined in Regulation D promulgated by the Securities and Exchange Commission under the Securities Act of 1933, as amended (the “Act”), are experienced in investments and business matters, have made investments of a speculative nature and have purchased securities of United States publicly-owned companies in private placements in the past and, with your representatives, have such knowledge and experience in financial, tax, and other business matters as to enable the you to utilize the information made available to you to evaluate the merits and risks of and to make informed investment decisions with respect to speculative investments. If you believe you are not an “accredited investor,” you agree to notify Halona.
